  1. Profercy” means Profercy Ltd and / or Profercy Phosphates Ltd
  1. Sanctions” means any designation of a person as a sanctioned person, financial sanction, trade sanction, sectoral sanction, and/or any other sanction imposed under the laws of the United Kingdom, the European Union, the United States of America, any sanctions as promulgated by the United Nations Security Council, and/or the laws of any jurisdiction to which either Party may be subject.
  1. Services” means any services provided by Profercy to the Subscriber.
  1. Subscriber” means the party that has subscribed or otherwise agreed to receive Services from Profercy or that receives the benefit of any Services provided.
  1. The Subscriber warrants that:
    1. Neither the Subscriber nor any of its parent companies, shareholders, subsidiaries, directors, officers, employees, agents, affiliates, or other person acting on behalf of the Subscriber, including any of the Subscriber’s individual recipients of the Services, is a designated sanctioned person, is owned or controlled by a designated sanctioned person, or is otherwise subject to any prohibition or restriction under the Sanctions.
    1. The Sanctions do not apply to prohibit or penalise any Services provided or agreed to be provided by Profercy to the Subscriber.
  1. If Profercy has reasonable cause to suspect that there has been a breach of Clause 5, it shall have the right to terminate any agreement under which Profercy is to provide Services to the Subscriber.  Any such agreement may be terminated upon the giving of notice by Profercy to the Subscriber or by Profercy ceasing to provide the Services to the Subscriber, and the Parties shall be released from any future obligations arising thereunder.  The Parties remain liable for any liabilities which have accrued up to the time of termination.
  1. The Subscriber shall indemnify and hold Profercy harmless to the full extent of any loss, damage, cost, expense, or liability to any person, regulatory authority, or governmental authority, including lost profits, legal fees, and court costs, arising out of or in connection with the termination of any agreement between the Parties under Clause 6 or any circumstances leading thereto, and/or for any failure or alleged failure of the Subscriber to comply with the Sanctions.
  1. Profercy assumes no liability to the Subscriber or any other person for any loss, damage, cost, expense, or liability to any person, regulatory authority, or governmental authority, arising out of or in connection with the termination of any agreement between the Parties under Clause 6 or any circumstances leading thereto, and/or for any failure or alleged failure of Profercy to comply with the Sanctions.
